Micro-holdco
Micro-holdco — the small-scale version of the holdco/opco pattern: by the second acquisition, practitioners stop owning ventures personally and give each operating business its own entity (the 4.3 liability wall), with cash swept to the owner or a holding layer that also books the properties and portfolio. “Micro” because the logic starts long before conglomerate scale — the first OPC at the first acquisition is its seed. Whether and when the holding layer itself incorporates is 4.6’s timing question.
