OPC (One Person Corporation)

OPC (One Person Corporation) — the 2019 Revised Corporation Code’s corporate form for a single stockholder, who is simultaneously sole shareholder, sole director, and president. What it buys over the sole proprietorship most owners run: a separate juridical person whose debts stop at the corporation, and built-in succession via the mandatory nominee and alternate nominee designated at registration — the corporation survives its owner. What it costs: SEC registration, annual GIS, audited FS once gross sales pass ₱3M, and realistic all-in compliance of ₱50k–100k+/yr. The natural first entity for a 4.2 acquisition’s asset purchase.
